Reorganization of the companies 2025 -2026
Key Milestones
-
Grupo Pampa carried out a corporate simplification process that reorganized its structure, reducing the number of companies from six to two investment vehicles: Pampa Investments and Potasios Investments.
-
In the first stage, the process involved the absorption of Pampa Calichera by Oro Blanco and the reverse merger of Nitratos into Potasios.
-
Subsequently, Potasios sold its stake in Pampa Calichera to Norte Grande, as part of the reorganization needed to move toward the new structure.
-
Subsequently, Oro Blanco absorbed its subsidiary Global Mining and incorporated Norte Grande through a reverse merger. As a result, Oro Blanco remained as the surviving company and was subsequently renamed Pampa Investments.
-
At Potasios’ Extraordinary Shareholders’ Meeting, the consolidation of the Class A and Class B shares was approved, terminating their respective preferences and limitations. As a result, the capital remains divided into the same number of shares, all of which are common, registered, without par value, and of a single class.
-
As a result, Grupo Pampa now consists of Pampa Investments, which consolidates the group’s entire stake in SQM S.A., and Potasios Investments. Both companies operate as long-term investment vehicles, more directly linked to the underlying asset.
-
This process enabled the Company to move toward a structure that is simpler, more efficient, and easier for the market to understand, with greater agility in decision-making and a clearer relationship between shareholders and the underlying asset, SQM S.A.
